Indemnification
You agree to indemnify, defend and hold Healthy Portfolio, LLC, its affiliates and their respective officers, directors, employees, sponsors, contractors, 3rd party affiliates and agents harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees), or other expenses that arise directly or indirectly out of or from (a) your breach of these Terms of Use or other terms applicable to your use of HealthyPortfolio.com products or services; (b) any allegation that any materials that you submit to us or transmit to us infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (c) your activities in connection with any HealthyPortfolio.com product or service.

Third Parties, such as but not limited to, brokers, financial advisors, investment firms, banks, etc. may or may not compensate Healthy Portfolio, LLC for allowing them marketing space on Healthy Portfolio, LLC websites. Subscriber agrees that in any legal claim through contract or tort or otherwise shall be limited to and not exceed for any expense the amount paid by subscriber to Healthy Portfolio, LLC for any services or product it has paid Healthy Portfolio, LLC directly. HealthyPortfolio.com may at any time cease the distribution of its newsletter in its sole discretion and is not required to give notice of such action or decision. Security
To access some of the HealthyPortfolio.com products, we require that you provide us with information about you. If you believe that your username and password are no longer secure, immediately update your password and immediately notify our customer service department via email at support@HealthyPortfolio.com or by telephone at 888-355-2707. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USER NAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES (INCLUDING PRODUCT PURCHASES) THAT ARE CONDUCTED THROUGH YOUR ACCOUNT. Information that we collect from you, such as registration and credit card information, is protected under our privacy policy.

Privacy Policy
We loathe spam – we will never sell your information to 3rd parties! This policy covers Healthy Portfolio, LLC use of personal information that it collects when you use the HealthyPortfolio.com or its affiliated sites. • Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of HealthyPortfolio.com websites or to otherwise violate any of our rights relating to our ownership and provision of our website or other Healthy Portfolio, LLC products or services;
• Remove any copyright, trademark, or other proprietary rights notices contained in HealthyPortfolio.com;

Proper Use
HealthyPortfolio.com products and services are licensed and operated by Healthy Portfolio, LLC. Products and/or services include all services, materials, information, and content delivered to a subscriber through direct communication, electronic or printed media. HealthyPortfolio.com products and services are intended for use solely by the individual that has subscribed or purchased products or services directly from HealthyPortfolio.com. Subscriber may not allow another person to use subscriber’s username and password to obtain access to HealthyPortfolio.com products or services for any reason including but not limited to time-share. Subscriber’s rights to use our products or services are limited exclusively to your personal use and may not be resold or shared for free or for profit with anyone.

Intellectual Property Rights
HealthyPortfolio.com, product licenses, including the HealthyPortfolio.com website are owned by Healthy Portfolio, LLC or licensed through 3rd parties for distribution through HealthyPortfolio.com and/or HealthyPortfolio.com affiliates as defined in the affiliate program. You may not use or reproduce such trademarks without written permission from Healthy Portfolio, LLC. All code, images, content, and media of all types on all sites may not be used for any purpose other than the subscriber’s direct viewing. We reserve all rights and remedies available to us and nothing in this agreement is intended to limit our rights and remedies.

Subscriber agrees to not share, resale, distribute, reproduce, copy, sell, resell, provide for free, exploit, or transfer for profit or not for profit any material, services, or access to services and understands that Healthy Portfolio, LLC shall bring litigation upon subscriber/customer for any violation of the policies within this agreement and disclaimer and subscriber/customer shall be responsible for all attorney, legal, marketing, public relation, lost profit, travel, damages, and other expense related to such violation. If successive logins are taking place from multiple IP addresses on a subscriber account then subscriber’s account may be suspended and cancelled without refund and subscriber agrees that they shall forfeit any right to a refund and any attempt to chargeback shall result in all collection fees, chargeback fees, subscription fees, and any legal fees being due to company.

Payment Policy
As consideration for the products HealthyPortfolio.com provides to you, you agree to pay HealthyPortfolio.com the applicable fees and other costs set forth at the time you purchase your subscription from HealthyPortfolio.com. Specials and limited time offers have different fees and costs and may have other terms and conditions. Prior to your purchase of a subscription, we may change fees and costs, at any time, for any reason, at our sole discretion, without prior notice to you. All fees and costs are due at the time you purchase. You agree to pay all value added, sales and other taxes. All payments must be made in U.S. dollars.

HealthyPortfolio.com accepts American Express, Discover/Novus, MasterCard and Visa credit and debit cards. HealthyPortfolio.com requires the credit, debit, or check card security code for your card for any telephone, on-location or online purchase to protect against the unauthorized use of your credit card by other persons. The security code is an individual three or four digit number specific to your card that may be printed on the face of your card above the embossed account number (if American Express), or on the back of your card, on the signature panel (if Visa, MasterCard or Discover).
HealthyPortfolio.com does not begin payment processing until HealthyPortfolio.com receives all of the information that it needs and full payment or a full authorization, in the case of credit cards. HealthyPortfolio.com will begin payment processing for orders placed on weekends or holidays on the next business day. Business days are Monday through Friday, excluding federal holidays.

Refund Policy
You may cancel your subscription and request a full refund up to 30 days after your subscription activation. All cancellations must be requested through HealthyPortfolio.com Support. All cancellation requests must be received on or before the 30th day of your subscription service. After midnight on the 30th day of your subscription, the 30-day satisfaction guarantee period ends and there are no cancellations for the current year/term and no refunds on subscription products. Cancellations shall only apply to the following billing cycle after the term the subscriber is currently subscribed to. If you do not renew your subscription and decide to reinstate it then you may be subject to a rate increase depending on what the current rate being charged for the subscription is.

In the event of a charge back by a credit card company (or similar action by another payment provider allowed by us) or other non-payment by you in connection with your payment of the applicable service or renewal fee, you agree that the product for which such fee has not been paid may be suspended, canceled or terminated, in HealthyPortfolio.com’s sole discretion, and you remain responsible for the full payment of the fee and any additional amounts owed by you.

Termination
Each of us can terminate our relationship with the other by discontinuing business with the other. For example, we may discontinue your access to HealthyPortfolio.com products or services in the event you are violating the Terms of Use. However, our rights and remedies under these Terms of Use, including our intellectual property rights, indemnification and limitation of liability, and any other agreement will continue to apply and survive the termination of the relationship. Upon termination, we may disable your access to some or all HealthyPortfolio.com products or services. Upon termination, you will not have access to the Mutual Fund X-Ray or the SPX Signal and Alerts.

Miscellaneous
These Terms of Use and any other agreement between HealthyPortfolio.com and you is governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to principles of conflicts of law. You agree to personal jurisdiction by the federal and state courts located in Federal court in Dallas County, Texas, United States of America, and waive any jurisdictional, venue, or inconvenient forum objection to such courts. If any provision of our agreements is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. These Terms of Use and any other agreements are not assignable, transferable or sub-licensable by you.

If HealthyPortfolio.com takes any action to enforce the Terms of Use or any other agreement with you, without limiting any of its other legal or equitable rights and remedies, you shall pay the costs incurred by it in connection with such action, including reasonable attorneys’ fees.

Technology Costs
HealthyPortfolio.com products and services are accessible through the internet and require that you have a computer and internet access. In addition, text messaging may apply and you will be liable for such cost from your phone provider. You acknowledge and agree that, to the extent necessary for you to access products which are made available through the internet, it is your responsibility to provide all equipment, including a computer and modem, necessary for you to establish a connection to the internet; to provide all commercially available standard software necessary to connect with our products and services; provide for your own connection to the internet; and pay any costs and fees associated with your equipment, software and connections to the internet.
